1. Agreement to Terms
By accessing or using Cutzilla Pro ("the Service"), operated by Swarm Digital UK ("we", "our", "us"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.
2. Description of Service
Cutzilla Pro is a web-based cutting layout optimization platform that helps woodworkers, cabinet makers, and fabricators minimise material waste. The Service includes:
- Cutting layout optimization algorithms
- Project and material management
- Cut list creation and management
- Visual layout previews and exports
- Material inventory tracking
3. Account Terms
- You must be at least 16 years old to use the Service
- You must provide a valid email address to create an account
- You are responsible for maintaining the security of your account and password
- You are responsible for all activity that occurs under your account
- You must notify us immediately of any unauthorised use of your account
- One person or entity may not maintain more than one free account
4. Subscriptions and Payment
Free Plan
The free plan provides limited access to the Service as described on our pricing page. We reserve the right to modify free plan features at any time.
Free Trial
New accounts receive a 14-day trial with access to all paid features. No payment details are required to start the trial and no charge is made when it ends. At the end of the trial the account moves to the Free plan automatically. Your data is not deleted, reduced or altered when a trial ends or a subscription lapses: content created on a paid plan remains stored and viewable, and becomes editable again on resubscription, subject to the retention terms below.
Maker and Pro Plans
- Maker and Pro subscriptions are billed monthly or annually as selected at checkout
- Prices are set in US dollars; customers outside the United States may be charged in their local currency at the rate applied by our payment processor
- Payment is processed securely by Stripe
- Subscriptions automatically renew unless cancelled before the renewal date
- You may switch between Maker and Pro at any time; the difference is prorated by Stripe
- You may cancel your subscription at any time; access continues until the end of the current billing period
- Refunds are handled on a case-by-case basis; contact support for assistance
Project Pass
- A Project Pass is a one-off purchase, not a subscription. It does not recur and is never billed again
- Each pass unlocks the paid features listed on our pricing page for a single project of your choosing, for as long as that project exists
- Passes do not expire. An unused pass remains on your account indefinitely and may be applied at any time, including to a project created before the purchase
- A pass does not grant warehouse, supplier or stock-tracking access, which are account-wide features of the Pro plan
- A pass is consumed when you apply it to a project and is not returned if that project is later deleted
- Passes are tied to your account and cannot be transferred or resold
- An unredeemed pass may be refunded on request within 14 days of purchase. A pass that has been applied to a project is treated as used and is refundable only at our discretion
Price Changes
We may change subscription prices with at least 30 days' notice. Price changes will take effect at the start of your next billing period.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose
- Attempt to gain unauthorised access to the Service or its systems
- Interfere with or disrupt the Service or servers
- Upload malicious code, viruses, or harmful data
- Scrape, crawl, or use automated means to access the Service without permission
- Reverse-engineer, decompile, or disassemble the Service
- Resell or redistribute the Service without written permission
- Use the Service to compete directly with Cutzilla Pro
6. Your Data
- You retain ownership of all data you upload to the Service (projects, materials, cut lists)
- You grant us a limited licence to store, process, and display your data solely to provide the Service
- You can export or delete your data at any time
- We handle your personal data as described in our Privacy Policy
7. Intellectual Property
The Service, including its design, code, algorithms, graphics, and content, is owned by Swarm Digital UK and protected by intellectual property laws. You may not copy, modify, or create derivative works of the Service.
The cutting layouts and optimizations generated by the Service are outputs for your use. We claim no ownership over optimized layouts generated from your input data.
8. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that:
- The Service will be uninterrupted, error-free, or secure
- Optimization results will be perfectly optimal for all scenarios
- The Service will meet all your specific requirements
Important: Cutting layouts generated by the Service are suggestions. Always verify measurements and layouts before cutting physical materials. We are not responsible for material waste or errors resulting from following generated layouts without independent verification.
9. Limitation of Liability
To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
- Loss of profits or revenue
- Loss of data
- Material waste from following generated cutting layouts
- Business interruption
Our total liability for any claims arising from the Service shall not exceed the amount you paid us in the 12 months preceding the claim.
10. Termination
- You may close your account at any time by contacting support
- We may suspend or terminate your account if you violate these terms
- Upon termination, your right to use the Service ceases immediately
- We will retain your data for 30 days after account closure to allow for recovery, then permanently delete it
11. Service Availability
We aim for high availability but do not guarantee 100% uptime. We may temporarily suspend the Service for maintenance, updates, or circumstances beyond our control. We will provide reasonable notice of planned downtime where possible.
12. Governing Law
These terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
13. Changes to These Terms
We may update these terms from time to time. We will notify you of material changes by updating the "Last updated" date and, where appropriate, providing notice via email or the application. Continued use of the Service after changes constitutes acceptance of the updated terms.
